This document governs your access to, and use of, the Sentia Arc Consulting website (the “Site”) and applies to any use of our services, including but not limited to consulting, project management, IT consulting, and strategy consulting services (the “Services”) provided by Sentia Arc LLC, doing business as Sentia Arc Consulting (“we,” “us,” or “our”). By accessing or using the Site or engaging our Services, you (“you,” “User,” or “Client”) agree to these Terms. If you do not agree to these Terms, do not use the Site or engage our Services.

 

1. Intellectual Property & Use of Site Content

  • All content on the Site — including but not limited to text, graphics, logos, images, audio, video, HTML code, and design — is the property of Sentia Arc Consulting (or its licensors), unless otherwise indicated.

  • You may view, download, and print one copy of the materials on a single computer solely for your personal or internal business use. You may not reproduce, republish, upload, post, transmit, distribute, modify or create derivative works from the Site content, in whole or in part, without prior written consent from us.

  • All trademarks, service marks, and trade names displayed on the Site are owned by us or their respective owners.

 

2. No Client Relationship by Site Use

  • Use of this Site — or any content herein — does not create a client-consultant, advisory, fiduciary, or other professional services relationship between you and Sentia Arc Consulting.

  • Any Services would be provided only pursuant to a separate written agreement executed between you and Sentia Arc Consulting.

 

3. Services Engagement & Deliverables (when applicable)

If you engage our Services under a separate consulting or services agreement, that agreement will define:

  • The scope of Services, deliverables, timeline, and milestones. Consulting Quest+1

  • Payment terms, including fees, invoicing schedule, taxes or expenses, and consequences for late payment. Consulting Quest+1

  • Termination clauses — how either party may end the engagement, and conditions under which deliverables or fees become due. Paperbell+1

  • Confidentiality, intellectual property rights (especially regarding any deliverables, project documentation, analyses, or proprietary work), and ownership of work product. Iowa State University Extension+1

  • Representations of professionalism, qualifications, compliance with laws/regulations (particularly important since you work with public-utility companies), and standard of care consistent with industry practices. FHI 360+1

 

4. Acceptable Use of Site and Services

By using the Site (and when applicable, our Services), you agree that you will not:

  • Use the Site or Services for any unlawful, abusive, harassing, or otherwise offensive behavior;

  • Attempt to reverse engineer, decompile, copy or otherwise circumvent any restrictions on the Site;

  • Use the Site or content for any commercial purpose beyond internal business use without our prior written consent;

  • Impersonate any person or misrepresent your affiliation with any person or entity when communicating with us;

  • Violate any intellectual property rights, privacy rights, or other rights of Sentia Arc Consulting or any third party.

 

5. Disclaimers; No Warranty; Limitation of Liability

  • The Site and its contents are provided “as is” and “as available,” without warranties of any kind, either express or implied (including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement). This includes technical accuracy, completeness, or suitability of information on the Site.

  • Sentia Arc Consulting — and its officers, affiliates, licensors or service providers — will not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of the Site or Services (even if advised of the possibility of such damages), including but not limited to loss of profits, loss of data, business interruption, or other losses. 6. Third-Party Links & External Resources

The Site may contain links to third-party websites or resources. These links are provided solely for convenience. Sentia Arc Consulting does not review or endorse third-party content, and is not responsible for the availability or content of those external sites. Using third-party links is at your own risk.

7. Modifications and Changes to Terms or Services

  • We reserve the right to modify, update, or revise these Terms at any time. When we do, we will post the revised version on the Site and update the “Last Updated” date. Continued use of the Site or Services after such changes constitutes acceptance of the revised Terms.

  • We may suspend, modify, or discontinue the Site (or any part of it) at any time, without liability or notice.

 

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Missouri (or another state if you prefer; adjust accordingly). Any dispute relating to these Terms, the Site, or Services shall be brought in the appropriate state or federal courts located in your chosen jurisdiction.

 

9. Severability / Entire Agreement / Survival

  • If any provision of these Terms is found invalid or unenforceable under applicable law, that provision shall be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

  • These Terms constitute the entire agreement between you and Sentia Arc Consulting with respect to Site use and supersede all prior or contemporaneous communications.

  • Sections that by their nature should survive termination — such as disclaimers, limitation of liability, intellectual property protections, governing law — will survive any termination of these Terms or your use of the Site.

 

10. Privacy Policy

Use of the Site and our Services is also governed by our separate Privacy Policy (linkable on the Site). By using the Site or Services, you also agree to the terms of our Privacy Policy.
